Goana Foods is into business of manufacturing, promotion and sales of pickles, masalas, vinegars , etc Under the brand name "GOANA FOODS" and is widely consumed in India and abroad.
Kindly note that once order is placed, will be final, no modifications/cancellations/refund will be allowed. In case we are not able to despatch the consignment due to manufacturing problems or any circumstances from our side, the entire amount will be refunded to your account. Consignment will be despatched after 30 days from the date of your order in order to allow fresh manufacturing time and process the export formalities. Make sure you fill in the correct port of discharge(Port where you want the cargo to be discharged). The cargo will be discharged at your port of discharge unless and until specified at the time of check out for a door delivery. You might be required to arrange an agent for customs clearance in your country if that is not possible opt for a door delivery. The product will have best before date of 2 years on the packet. There will be no price, you mark your own price. The consignment will be fully insured upto your port of discharge.
EXPORTER has approached Goana Foods being expertise in Sales promotion and EXPORTERship to market and sales of the products manufactured by Goana Foods
Goana Foods hereby grants to the EXPORTER right, on the terms and conditions contained herein, to purchase, inventory, promote and resell Products manufactured by GOANA FOODS under the band name "GOANA FOODS" in the territory as registered on the website
EXPORTER shall at all times maintain adequate inventories of the Products supplied by GOANA FOODS and will promote vigorously and effectively the sale of products through all channels of distribution prevailing in the Territory allotted, in conformity with marketing policies and programs established by GOANA FOODS. EXPORTER shall use its best efforts to sell Products to aggressive, reputable, and financially responsible dealers providing satisfactory consumer service throughout primary marketing area allotted
EXPORTER shall maintain a place of business in the Territory allotted, including suitable display counters for the products to display
EXPORTER shall hire sales personnel or appoint representatives to introduce, promote, market and sell the products in the territory. Such personnel and/or representatives shall be adequately trained by the EXPORTER and shall employ sufficient numbers of sales personnel and/or representatives to market the products in the Territory.
EXPORTER agrees not to engage in the distribution promotion, marketing or sale of any goods or products that compete or conflict with Products of the party of the First Part.
EXPORTER has to maintain a stock of the goods that is equivalent to an average of 30 days of sale at any given point of time.
EXPORTER agrees that they shall not sell competitor’s product during the subsistence of the present agreement and GOANA FOODS reserves the right to terminate the agreement incase of violation of terms and conditions.
EXPORTER shall keep the Party of the First Part informed about the competitor activities at all times.
GOANA FOODS shall uthorize personnel to inspect the inventory maintained by the EXPORTER at any given time.
EXPORTER will be obliged to buy stocks on the recommendation of the sales team in case they feel the stock will not be sufficient for his marketing activities and the EXPORTER shall not refuse to take the instructions given for the improvement of sales by the Executive directors/Executive General Manager / Regional Manager / Sales Manager / or any other person duly authorized by GOANA FOODS must be followed.
GOANA FOODS reserves the right to sell the products directly to major existing outlets and hyper marts in the area allotted to the EXPORTER if deemed necessary.
GOANA FOODS reserves the right to sell/supply the products directly in case the Party of the Second Part fails to supply on time in the area allotted.
EXPORTER shall intimate the Party of the First Part about the products in stock before one months of its expiry and GOANA FOODS will take back those products on the following terms and conditions. We will take back the goods maximum 1 month after expiry. After one month to 6 months 25% of the billed amount will be given. Beyond 6 months no stock will be accepted.
Replacement in case of expiries, spoilages, may be done piece by piece, applicable only in India at the time of fresh billing
Replacement in case of expires, spoilage , may be done also through a credit note, provided bill details (bill date and invoice where such goods were sold) should be shared along with expiry or return. Only in India.
EXPORTER shall not use, nor authorize or permit to the use the name “Goana Foods ” or any other trademark or trade name owned by GOANA FOODS as part of his firm, corporate or business name in any manner whatsoever. “Goana Foods” is exclusive trademark of the respective owners and registered in India and around the world.
The relationship between the EXPORTER here is that of vendor and vendee. The EXPORTER, its agents and employees shall, under no circumstances, be deemed to be employees, agents or representatives of GOANA FOODS
The EXPORTER shall not modify, alter or temper with the Products supplied without written permission.
On discontinuation, the EXPORTER shall remove and not thereafter use any sign containing any trade name, logo or trademark of GOANA FOODS, but not limited to, “Goana Foods ® ”and will immediately return or destroy all stationery, advertising matter and other printed matter in its possession or under its control containing such name, or any of the trademarks, trade names or logos of GOANA FOODS. The EXPORTER shall not at any time after such terminatio use or permit any such trademark,trade name or logo to be used in any manner in connection with any business conducted by it or in which it may referring to anything other than merchandise or products of GOANA FOODS. Regardless of the cause of termination, the EXPORTER will immediately take all appropriate steps to remove and cancel its listings in telephone books, and other directories, and public records,or elsewhere that contain the name, logo or trademark of GOANA FOODS. If the EXPORTER fails to remove or cancel promptly, GOANA FOODS may make application for such removals or cancellations on behalf of the EXPORTER and in the name of GOANA FOODS and in such event the EXPORTER will render every assistance.
The EXPORTER shall not share sensitive and confidential information with any other persons, competitors, etc.. and maintain utmost secrecy of information as it can be detrimental to the business of GOANA FOODS. EXPORTER shall indemnify GOANA FOODS for the loss if any due to such breach of terms and conditions
Nothing in this agreement shall be deemed to be a Partnership or an association of Persons and the parties hereto shall be liable to pay their respective taxes on the revenue generated and earned
These terms and conditions superseds all prior understanding in the subject matter hereof. These conditions may be modified on this website at any time and you are requested to check from time to time.
In case there is any change in address of any of the party, they shall intimate the same by modifying their account.
Disputes and diffrences od any kind whatsoever nature arising out of connection with this Agreement that is not resolved it shall be referred to arbitration. Each party will nominate one arbitrator and the arbitrators so appointed shall appoint the third Arbitrator.The arbitration proceedings shall be in accordance with the provisions of the Arbitration and conciliation Act, 1996 or any other law for the time being in force in India. The arbitration shall be at Panaji, Goa only as per the mutual agreement of the Partiesand the proceeding shall be held in English.

Consignment will be despatched after 7 days from the date of your order in order to allow fresh manufacturing time and process the other formalities. Make sure you fill in the correct data. The cargo will be discharged at your transporters godown.
